GRIDSERVE United – Points Incentive Scheme

These terms and conditions (“Terms”) explain the basis on which GRIDSERVE makes available the Points Based Scheme to you. The Point Based Scheme has been established exclusively for GCL Employees and will be managed by a third party, Loyalty Works, on our behalf.

Please read these Terms carefully and make sure that you understand them, before participating in the Points Based Scheme. Please note that before participating in the Points Based Scheme you will be asked to agree to these Terms. If you refuse to accept these Terms, you will not be able to participate in the Points Based Scheme. A copy of the Terms will be made available to you on the Website for future reference.

We reserve the right to amend these Terms, the Website Terms of Use, the Privacy Policy, and/or the Cookie Policy at any time. If you continue to participate in the Points Based Scheme following any such amendments you will be considered to have accepted such updated documents.

  1. Definitions

    Cookie Policy means the Cookie Policy linked on the Website.

    Personal Data has the meaning given to it in the Data Protection Legislation.

    Data Protection Legislation means

    a.all applicable data protection legislation (from time to time), including without limitation the Data Protection Act 2018, the ‘UK GDPR’, the Electronic Communications Data Protection Directive 2002/58/EC, the Privacy and Electronic Communication (EC Directive) Regulations 2003, and the Data Retention (EC Directive) Regulations 2009; and
    b.any legislation and/or regulations implementing the above data protection legislation or any orders made or codes of practice issued under them including where applicable the guidance and codes of practice issued by the Information Commissioner;

    GCL Employee(s) means eligible members of the GRIDSERVE Car Leasing Team, who are employed by GRIDSERVE, aged 18 or over.

    Group Company means any of our direct or indirect subsidiaries or any of our direct or indirect holding companies or any such holding company of such subsidiary of us.

    League Points means points received by the GCL Employees based on the result of each month’s goals.

    Loyalty Works means Loyalty Works Limited (Company Number 09971883) whose registered address is Ghyll Beck House, Gill Lane, Yeadon, Leeds, LS19 7SE, United Kingdom.

    Match Play Points has the meaning given in clause 4.1.

    Personal Account Details means the details that you will need to access the Website and to participate in the Points Based Scheme.

    Points Based Scheme means the reward programme through which GCL Employees may participate in order to earn Rewards.

    Reward Points means converted League Points which can be used by the you to claim Rewards.

    Reward(s) means any redeemable prize that can be claimed by you, which are claimed through the Website.

    Scheme Period means 3rd March 2023 to 31st December 2023.

    Third Parties means any Third Parties that Loyalty Works or GRIDSERVE use in relation to the Points Based Scheme.

    Transfer Period means the period during which you are able to transfer Reward Points to redeem any Rewards.

    We/Us means GRIDSERVE EMEA DEPC LTD (Company Number 07471644) whose registered address is Thorney Weir House, Thorney Mill Lane, Iver, Buckinghamshire, SL0 9AQ.

    Website means success.gridserve.com.

    Website Terms of Use means the terms of use of the Website.

    Working Days means a day that is not a Saturday or Sunday, or any day that is not a bank holiday.

  2. THE POINTS BASED SCHEME
    1. The Points Based Scheme is a free to join scheme which is made available to GCL Employees. The Points Based Scheme is made available to you entirely at our discretion and may be withdrawn at any time.
    2. By participating in the Points Based Scheme, you confirm that you have read, understood and accept the Terms.
    3. The Points Based Scheme will operate during the Scheme Period.
    4. The Points Based Scheme is only available to GCL Employees who are based in the UK mainland, The Channel Islands, the Isle of Man, and Ireland. If you are based outside of these countries, you are not eligible to participate in the Points Based Scheme
    5. The Points Based System will be managed by Loyalty Works on our behalf.

  3. ENTRANCE AND PARTICIPATION
    1. You will receive a personalised log in to be able to access the Website. This will allow you to access the game and track any Match Play Points, League Points or Reward Points as well as giving you access to any Rewards available.
    2. You are required to keep your Personal Account Details safe and secure and should not disclose these to anyone.
  4. THE REWARD SYSTEM
    1. At the start of each month, all GCL Employees participating in the Points Based Scheme will be given a total amount of goals, which as a team titled GRIDSERVE United Squad, you will need to beat.

      Points can be earned by you in the following way: 1 Prop = 5 Match Play Points
      1 Deal = 10 Match Play Points
      1 Delivery = 10 Match Play Points

      A goal will be scored when the team collectively achieves 250 Match Play Points.

      The match will end at the end of each month, and you will receive League Points based on the result of that month’s match. As an example, if the GRIDSERVE United Squad beats the goal target set at the start of the month, you will receive three League Points. If there is a draw, you will receive 1 League Point and if the GRIDSERVE United Squad loses, you will not receive any League Points. You can earn additional Reward Points for exceptional and recognised work that you do throughout the month which will only be added to your Reward Points total.

    2. Any League Points that you receive will be converted into Reward Points on a quarterly basis. Once the League Points have been converted to Reward Points you will be able to claim Rewards during the Transfer Window. The Transfer Window will be available for 1 week following the end of each quarter. You will be able to exchange any Reward Points for Rewards during this time. You are able to save any Reward Points you have received and bank them until the end of the next quarter. There is no obligation to spend any Reward Points.

      1-3 points 200 Reward Points
      4-7 points 400 Reward Points
      8-9 points 600 Reward Points
    3. We will monitor activity throughout the Points Based Scheme. Any non-compliance by you will lead to a red or yellow card, which will result in a loss of Match Play Points for the GRIDSERVE United Squad. Any disciplinary action may also lead to a loss of Match Play Points.
    4. Any details of your progress will be updated weekly and detailed on your online account on the Website.
    5. We reserve the right to correct any mistakes that are made in respect of the Reward Points issued to you but we recommend that you keep records of your transactions so that you can verify the information held on your account by us is accurate. Any queries that arise in connection with Reward Points accrued should be directed to us as soon as possible after they arise.
  5. CLAIMING A REWARD
    1. Any Reward claimed under the Points Based Scheme will be verified against our records. The details on our records are the only record that will be used in calculating the Rewards available to you under the Points Based Scheme.
    2. You will be given a list of Rewards that are available to be selected. After the Reward has been selected you will not be able to change your selection, unless it is in accordance with clause 6.4.
    3. Rewards cannot be exchanged for the monetary value of the Reward.
    4. Any Rewards must be claimed before the Points Based Scheme is terminated.
    5. All Rewards must be claimed through the Website.
    6. Rewards can only be redeemed by you when you have reached the relevant Reward Point level and cannot be transferred to another GCL Employee or party who is not a GCL Employee.
  6. PROCESSING
    1. Rewards can take up 28 days to be processed.
    2. Mainland UK and Ireland delivery charges quoted to you are for the majority of UK Mainland and Ireland addresses. There are different delivery charges for the Channel Islands, Northern Ireland, Isle of Man, Scottish Highlands, Orkney Isles, Outer Hebrides, Shetland Isles and Ireland.
    3. Delivery of Rewards within mainland UK and Ireland will be made within 1-5 Working Days from the date that your order of your Reward is processed by the relevant Third Party. Reasonable endeavours will be made to deliver the Reward within the times given to you but they are subject to availability and delay in delivery. Any dates specified for the delivery of the Rewards are approximate only and neither we or any Third Party shall be liable for any losses, costs, damages, charges, or expenses caused by any delay for delivery of the Rewards.
    4. If suppliers of the Rewards are temporarily out of stock, you will be notified of this, and you are able to wait for the relevant restock or select another Reward.
    5. On receipt of the Reward from the courier, you are required to sign for the Reward indicating that the Reward has been received
    6. It is your responsibility to sign for the correct number of parcels shown on the courier’s delivery consignment note. Failure to do so by you may affect any claims you make thereafter.
    7. If you do not receive the correct parcel or parcels, this must be noted on the consignment delivery note, and you must notify us within 24 hours of delivery. It is your responsibility to notify us of any incorrect goods supplied within 24 hours of delivery. To notify us please contact jeff.chapman@gridserve.com or paul.sweeney@Gridserve.com.
    8. If a Reward arrives and it is visibly damaged, you must refuse the delivery of the Reward and make a note on the consignment carrier’s delivery note. It is your responsibility to notify us within 24 hours from delivery if the Reward is damaged and failure to do so may affect a claim that you have.     9. Please notify us as soon as possible if your Reward is faulty and in any event within 30 thirty of delivery so we can liaise with Loyalty Works regarding a replacement. Please note that we will not be responsible or liable if Loyalty Works is unable to provide a like for like replacement. If a like for like replacement is unavailable we may offer you a choice of alternative Rewards.
  7. CANCELLATION
    1. We may terminate your participation in the Points Based Scheme immediately at any time and cancel or suspend any Reward Points you have received if we have reasonable grounds to suspect or believe you have: i. acted in a way that harms our goodwill or reputation or that of Third Parties; ii. engaged in any illegal conduct; iii. collected or redeemed (or attempted to collect or redeem) points dishonestly or fraudulently; iv. acted in a hostile, abusive or aggressive manner towards any of our staff or the staff of our Third Parties; v. knowingly provided false or misleading information at any time during your participation in the Points Based Scheme; or vi. breached or attempted to breach any of these Terms.
    2. You can choose to withdraw your participation in the Points Based Scheme at any time by contacting us at jeff.chapman@gridserve.com or paul.sweeney@Gridserve.com. Any accumulated Reward Points not redeemed by the date of withdrawal shall be forfeited and you will not be entitled to any financial or other compensation for any unredeemed Reward Points.
    3. We may stop you from participating in the Points Based Scheme if your employment contract with us is terminated. You must be a GCL Employee during the point of redemption and during the completion of the redemption process. If your employment contract is terminated, your points and entitlement to receive a Reward with be revoked.
    4. We may cancel, suspend or withdraw your right to participate in the Points Based Scheme at any time by notice in writing, this includes sending an email to the email address registered to your account. Your right to use any accumulated Reward Points will be forfeited and you will not be entitled to any compensation or damages from us or our Third Parties.
  8. EMPLOYEE DATA
    1. When participating in the Points Based Scheme, you will be required to provide personal details. We and Loyalty Works shall correspond with you in relation to your registration.
    2. In order to administer the Points Based Scheme some of your Personal Data will be shared by us with Loyalty Works. Loyalty Works will act as a ‘Data Processor’ and will only be permitted to use the Personal Data, and share it with their providers, for the purposes we have agreed with them (i.e. to administer the Points Based Scheme). Further details can be found in the GRIDSERVE Employee Privacy Notice If you do not want your Personal Data to be shared with Loyalty Works then you can avoid this by not participating in the Points Based Scheme, and you are free to make that decision.
  9. TAXES
    1. To the extent such Rewards received by you under the Points Based Scheme are liable to income tax, we will settle such tax in full on your behalf.
  10. LIABILITY
    1. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.
    2. If you are issued with a Reward, we accept no liability for lost or stolen Rewards.
    3. We are not responsible for any Third Party websites that are made avaliable to you as part of the Points Based Scheme, nor for any product information or services supplied through or in connection with such Third Party websites.
  11. GENERAL
    1. We reserve the right to alter or amend these Terms at any time during the Scheme Period. We will give you 30 days written notice of any such changes.
    2. These Terms, constitute the entire agreement between you and us in relation to the Points Based Scheme and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings whether written or oral, relating to its subject matter.
    3. You acknowledge that by entering into the Points Based Scheme, you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms.
    4. We will not be liable for any failure to perform, or delay in performance of the obligations that are caused by an event outside of our control including (without limitation) strikes, industrial action by third parties, civil commotion, terrorist attack, riot, invasion, fire, storm, flood, earthquake, epidemic or other natural disaster. We reserve the right to vary the Terms or cancel or suspend the Points Based Scheme at any time due to an event outside of our control.
    5. We may transfer the rights and obligations in these terms to a Group Company.
    6. Except for you and us, no other person or entity shall have any rights to enforce any of its terms.
    7. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
    8. Any dispute or claim arising out of or in connection with these Terms shall be governed by and construed in accordance with the law of England and Wales. You and we irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
